These Terms of Use ("Terms") govern your access to and use of the VinDXit platform, including our websites, applications, content, and related services (collectively, the "Services"). The Services are operated by Whitewood Legacy LLC ("we," "us," or "our") under the VinDXit brand.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Nature of the Service
VinDXit provides a proprietary vehicle scoring and insights system designed to inform users about a car's condition, value context, and lifestyle fit. It is not a financial credit score and is not intended for lending, insurance underwriting, or legal decisions.
2. Accounts & Authentication
- You may sign in using Google Identity Services (GIS). We receive a verified ID token and store a minimal profile (Google user ID "sub", email, name, profile image URL) to authenticate you.
- No extra Google scopes are requested; we do not access Gmail, Calendar, Drive, or Contacts.
- You are responsible for maintaining the security of your device and session. Do not share access or attempt to impersonate others.
3. Age Requirements; Children's Use
The Services are not directed to children under the age of 13, and children under 13 may not use the Services, create an account, or submit any personal information to us.
If you are between the ages of 13 and 17, you may use the Services only with the involvement and permission of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By permitting a minor to use the Services, the parent or guardian accepts full responsibility for that use.
By using the Services, you represent and warrant that you are at least 18 years old, or that you are between 13 and 17 and have obtained your parent's or legal guardian's permission to use the Services.
If we learn or reasonably believe that a user under 13 has provided personal information to us or used the Services in violation of these Terms, we may suspend or terminate the account and delete associated content or information as permitted by applicable law.
4. User Inputs & Uploads
- You may input vehicle details (e.g., VIN, mileage, ZIP) and optional questionnaire answers.
- If you upload or email a vehicle document, including maintenance records, receipts, service records, inspection records, or history-related documents, you authorize VinDXit to review, process, and associate those materials with the applicable vehicle, VIN, listing, or account.
- VinDXit may create privacy-safe maintenance evidence, service history entries, Evidence Sheets, and related internal records derived from submitted materials.
- VinDXit may use submitted materials and non-identifying information derived from them for internal operations, fraud prevention, scoring development, product improvement, analytics, research, and related business purposes.
- VinDXit may keep internal operational or admin records about score requests, uploads, listings, messages, and related moderation or audit actions to run the Services, investigate misuse, and improve reliability.
- VinDXit may use or share aggregated or de-identified vehicle history information without further notice or permission.
- Personally identifiable information will not be publicly shared in personally identifiable form except as described in our Privacy Policy or as required by law.
- You represent that you have the right to provide any content you submit and that it is accurate to the best of your knowledge.
5. Beta Features
Some features may be offered as beta or experimental. Beta features are provided "as is", may be incomplete, and could change or be withdrawn without notice. Your feedback on beta features may be used to improve the Services without compensation to you.
6. AI Disclosures; No Professional Advice
- Scores and narratives are generated by proprietary logic that may incorporate artificial intelligence. They are opinions and may not reflect real-time market conditions or the full physical condition of a vehicle.
- The Services provide informational content only and do not constitute financial, legal, insurance, or professional advice of any kind. You should independently verify important facts before buying or selling a vehicle.
7. Acceptable Use
You agree not to:
- Reverse-engineer, scrape, or attempt to reconstruct the scoring algorithm or any underlying data models;
- Use the Services to misrepresent a vehicle's condition or history, or to defraud any person;
- Submit malicious code, automated traffic, materially false information, synthetic engagement, or spam;
- Probe, poison, scrape, or overload analytics, survey, FSBO, scoring, messaging, or admin endpoints, including by sending fake events or bypassing rate limits or access controls;
- Use the Services, listings, or messaging tools to harvest contact information, move users off-platform in violation of our rules, or interfere with moderation or safety systems;
- Interfere with security or access controls, or otherwise disrupt the operation of the Services;
- Use the Services in any manner that violates applicable local, state, national, or international law or regulation.
We may rate-limit, block, review, preserve, or delete traffic, content, records, and account access when we reasonably believe these rules have been violated. We may suspend or terminate access for any violation of these provisions, at our sole discretion and without prior notice.
8. Intellectual Property
The Services, including scoring systems, data models, code, graphics, text, UI elements, and trademarks, are the intellectual property of Whitewood Legacy LLC and/or its licensors. Except for the limited right to access and use the Services for personal, non-commercial purposes as expressly permitted by these Terms, no license is granted to you. Any unauthorized reproduction, distribution, modification, or commercial use is strictly prohibited.
9. Third-Party Services & Links
The Services may reference or link to third-party websites, platforms, or content (e.g., vehicle listing sites, embedded media). We are not responsible for the content, accuracy, privacy practices, or policies of any third party, and a link does not imply endorsement. We do not receive compensation for third-party links unless explicitly disclosed.
10. Availability & Changes
We may modify, suspend, or discontinue the Services (in whole or in part) at any time and without notice. We are not liable for any disruption, data loss, or inconvenience resulting from unavailability.
11. Warranty Disclaimer
The Services, including all scores, outputs, and content, are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all implied warranties, including those of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or free of harmful components.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Whitewood Legacy LLC and its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including any loss of profits, revenue, data, goodwill, or business opportunity — arising out of or related to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any and all claims arising out of or related to these Terms or the Services will not exceed the greater of: (a) the total amounts you paid us for the Services during the 12-month period immediately preceding the claim; or (b) one hundred U.S. dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
13. Indemnification
You agree to defend, indemnify, and hold harmless Whitewood Legacy LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, judgments, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.
14. Termination
We may suspend or terminate your access to the Services at any time, for any reason or no reason, including suspected violation of these Terms or misuse of the platform. Upon termination, all licenses granted to you immediately expire. Provisions that by their nature should survive termination — including Sections 8, 11, 12, 13, 15, 16, and 19 — will survive.
15. Dispute Resolution; Binding Arbitration
Please read this section carefully. It affects your legal rights.
Informal Resolution. Before initiating any formal dispute, you agree to contact us at james@vindxit.com and give us 30 days to attempt an informal resolution.
Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including questions about the existence, validity, or termination of these Terms — will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as modified here. The arbitration will be conducted in English, and the seat of arbitration will be Indiana, U.S.A.
Class Action Waiver. You and Whitewood Legacy LLC each waive any right to bring claims as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, without waiving the right to arbitration.
16. Governing Law; Venue
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles. For any claims not subject to arbitration under Section 15, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Indiana.
17. Export Compliance
You agree to comply with all applicable U.S. and international export control laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
18. California Privacy Rights
If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and related regulations. Please refer to our Privacy Policy for a full description of your rights and how to exercise them.
19. Entire Agreement; Severability
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Whitewood Legacy LLC regarding the Services and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of the remaining provisions.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
20. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. Where required by applicable law, we will provide more prominent notice of material changes. Your continued use of the Services after any changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
21. Data Sources & Credits
VinDXit integrates and interprets data from multiple public and open sources to provide vehicle information and scoring insights. All third-party data remains the property of its respective owners.
- NHTSA – Vehicle identification, recall, and safety data via vPIC and related APIs (U.S. Government, public domain).
- us-car-models-data (GitHub) – Open dataset of make/model/year specifications, MIT License (© contributors).
- SAE International – World Manufacturer Identifier (WMI) standards reference (used for VIN decoding).
- Google Identity Services – Authentication under Google's API Terms of Service.
We do not claim ownership of third-party data and do not guarantee its accuracy, timeliness, or completeness. All scores and interpretations are proprietary opinions derived from publicly available or user-submitted information.
